ChronoBid Auctions — Terms and Conditions

These Terms and Conditions apply when you:

• create or use an online bidding account with ChronoBid Auctions;
• register to participate in an online auction;
• place a bid on a watch or other item offered for sale through the Website;
• become the successful bidder and purchaser of an auction item;
• purchase an item by private treaty following an online auction; or
• access or use the Website and its auction-related services.

By registering for an account, placing a bid, purchasing an item or otherwise using the Website, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions and any additional special conditions applying to a particular auction or Lot.

In these Terms and Conditions:

• “Auction” means a timed online auction conducted through the Website.
• “Bidder” means a person or entity registered with ChronoBid Auctions and authorised to participate in an Auction.
• “Buyer” means the Bidder whose bid is accepted as the successful bid for a Lot, subject to any applicable Reserve Price and ChronoBid Auctions’ acceptance of the sale.
• “Buyer’s Premium” means the premium payable by the successful Buyer in addition to the winning bid amount, at the rate displayed on the Website or applicable to the relevant Auction.
• “ChronoBid Auctions”, “we”, “us” or “our” means the business operating the ChronoBid Auctions Website and auction service.
• “GST” means goods and services tax imposed under applicable Australian law.
• “Lot” means a watch or other item offered for sale through an Auction and identified by a Lot number where applicable.
• “Maximum Bid” means the maximum amount a Bidder authorises the Website’s bidding system to bid on their behalf, excluding the Buyer’s Premium and other applicable charges unless otherwise stated.
• “Purchase Price” means the successful winning bid amount for a Lot.
• “Reserve Price” means the confidential minimum price, where applicable, at which a Lot may be sold.
• “Total Purchase Price” means the Purchase Price plus the Buyer’s Premium and any applicable GST, taxes, delivery costs, insurance, duties, charges or other amounts payable by the Buyer.
• “Website” means chronobid.com.au and any associated ChronoBid Auctions online auction platform, pages or services.
• “You” or “your” means a Bidder, Buyer or other user of the Website.

3.1 Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract to register and participate in an Auction.

By registering, you confirm that you satisfy these requirements.

3.2 Account Registration

To participate in an Auction, you must create an online account and provide the information requested by ChronoBid Auctions.

You agree that all information supplied during registration is complete, accurate and current.

Registration is generally free unless otherwise stated on the Website.

3.3 Personal Information

You may be required to provide information including:

• full legal name;
• residential or business address;
• telephone number;
• email address;
• payment information; and
• any other information reasonably required for identity, security, payment or compliance purposes.

You authorise ChronoBid Auctions to verify information provided by you where reasonably necessary.

3.4 Acting on Behalf of Another Person

The person named on the registration account will be regarded as the Bidder and Buyer unless ChronoBid Auctions receives satisfactory written evidence before the Auction that the Bidder is authorised to act for another person or entity.

ChronoBid Auctions may require the full legal details of the person or entity on whose behalf the Bidder is acting.

Unless otherwise agreed in writing, the registered Bidder remains responsible for all obligations arising from bids placed through their account.

3.5 Account Security

Your username, password and account information are personal to you and must not be shared with another person.

You are responsible for maintaining the security and confidentiality of your account credentials.

Any bid placed through your account may be treated as having been authorised by you.

If you believe your account, password or other login details have been compromised or used without your permission, you must notify ChronoBid Auctions immediately.

3.6 Suspension or Refusal of Registration

ChronoBid Auctions may, at its discretion:

• accept or reject an application for registration;
• restrict or refuse access to an Auction;
• suspend an account;
• cancel or terminate bidding privileges; or
• require additional identification or verification.

This may occur where ChronoBid Auctions reasonably considers that a Bidder has provided inaccurate information, failed to meet payment obligations, breached these Terms and Conditions, engaged in suspicious or misleading conduct, or otherwise presents a security or compliance concern.

Where required, Bidders may be asked to provide valid payment card details through an authorised third-party payment provider.

Payment information is processed through the applicable secure payment gateway.

ChronoBid Auctions may place a pre-authorisation or verification hold on a payment card to confirm that the card is valid and available for use.

A verification or pre-authorisation is not necessarily a completed payment and may be released by the relevant financial institution in accordance with its own procedures.

You are responsible for ensuring that your registered payment details remain valid.

ChronoBid Auctions may suspend bidding privileges where valid payment details cannot be verified.

5.1 Buyer Responsibility

Bidders are responsible for satisfying themselves as to the condition, authenticity, quality, specifications and value of a Lot before placing a bid.

Where available, Bidders should carefully review:

• photographs;
• videos;
• descriptions;
• condition reports;
• certificates;
• service records;
• warranty information;
• serial numbers;
• accessories;
• box and papers;
• provenance information; and
• any other documentation supplied with the Lot.

5.2 Inspection

Where physical inspection is available, ChronoBid Auctions may provide an opportunity to inspect selected Lots by appointment.

Details regarding inspection will be provided on the relevant Auction or Lot page.

5.3 Condition Descriptions

Any condition description provided by ChronoBid Auctions is intended to assist Bidders in assessing a Lot.

Unless expressly stated otherwise, descriptions are not guarantees that a watch is free from every defect, mark, alteration or sign of wear.

Luxury and pre-owned watches may display signs of previous use consistent with their age and condition.

Bidders should consider all available information before bidding.

5.4 Auction Estimates

Any estimated value or price range displayed for a Lot is an estimate only.

An estimate may be based on factors including previous auction results, market conditions, rarity, condition, provenance, quality and comparable sales.

An estimate does not constitute a guarantee of the value or selling price of a Lot.

A Lot may sell for more or less than its published estimate.

6.1 Auction Period

Each Auction will have a nominated opening and closing time displayed on the Website.

Auction times may vary between Auctions.

It is the Bidder’s responsibility to monitor the Auction and ensure bids are submitted before the relevant closing time.

6.2 Starting Bids

ChronoBid Auctions may establish a starting bid for each Lot.

Bids must meet the applicable starting bid and bidding increment displayed on the Website.

6.3 Reserves

Some Lots may be subject to a Reserve Price.

Unless otherwise stated, the Reserve Price may remain confidential.

A Lot will not necessarily be sold unless the applicable Reserve Price has been reached or ChronoBid Auctions otherwise accepts the sale.

6.4 Buyer’s Premium

Unless otherwise stated, successful Buyers are required to pay a Buyer’s Premium in addition to the successful bid amount.

The applicable Buyer’s Premium will be displayed on the Website or otherwise communicated before or during the relevant Auction.

Unless otherwise specified, the Buyer’s Premium is 7.5% of the successful bid amount (hammer price).

7.1 Placing a Bid

A registered Bidder may place a bid by using the online bidding system.

By placing a bid, you are making an offer to purchase the Lot at the amount entered or authorised by you.

7.2 Bids Are Binding

Once submitted, a bid is irrevocable and cannot be reduced, withdrawn or cancelled, except where ChronoBid Auctions agrees otherwise or where required by law.

Bidders should carefully check the bid amount before submitting it.

7.3 Bidding Increments

Bids must comply with the bidding increments displayed by the Website.

The bidding system may automatically reject bids that do not meet the required increment.

7.4 Outbidding

If another Bidder places a higher bid, your bid may be unsuccessful.

Where the Website supports bidder notifications, ChronoBid Auctions may notify you that you have been outbid.

Bidders remain responsible for monitoring their own bids.

7.5 Equal Bids

Where two Bidders submit the same bid amount, the earlier bid recorded by the online bidding system will generally take precedence.

ChronoBid Auctions’ electronic bidding records will be relied upon in determining the timing and sequence of bids, subject to applicable law.

7.6 ChronoBid Auctions’ Rights

ChronoBid Auctions reserves the right, where permitted by law, to:

• refuse or reject a bid;
• require a Bidder to undergo additional verification;
• change bidding increments;
• withdraw a Lot;
• amend or correct a Lot description;
• amend an Auction closing time;
• cancel or suspend an Auction;
• place or maintain a Reserve Price;
• refuse access to an Auction;
• require immediate payment or a deposit;
• correct obvious errors; and
• take any other reasonable action necessary to protect the integrity and security of the Auction.

To provide a fair opportunity for competing Bidders, ChronoBid Auctions may use an automatic closing extension.

Where a qualifying bid is placed shortly before the scheduled closing time, the closing time for the Lot may be extended.

Unless otherwise specified on the relevant Auction page, a Lot may be extended by three minutes where competitive bidding occurs within the final three minutes.

ChronoBid Auctions may alter the extension period for a particular Auction and will display the applicable rules on the Website.

Where the Website provides a Maximum Bid facility, a Bidder may enter the maximum amount they are prepared to pay for a Lot.

The bidding system may then automatically submit incremental bids on behalf of the Bidder in accordance with the applicable bidding rules.

The Maximum Bid:

• cannot be reduced or cancelled once submitted;
• is an irrevocable offer up to the nominated maximum amount;
• does not necessarily mean the Bidder will pay the maximum amount;
• remains subject to any Reserve Price; and
• does not include the Buyer’s Premium or other applicable charges.

If the bidding does not reach the Bidder’s Maximum Bid, the Bidder may purchase the Lot for the lower successful bid amount, provided the Reserve Price and other applicable conditions have been satisfied.

If another Bidder exceeds the Maximum Bid, the Maximum Bidder will be outbid.

Where two or more Maximum Bids are submitted at the same amount, priority may be given to the Maximum Bid received first by the online bidding system.

ChronoBid Auctions is not responsible for loss caused by a technical failure, delay or interruption preventing a Maximum Bid from being submitted or processed.

10.1 Winning Bid

The highest qualifying Bidder at the conclusion of an Auction will become the successful Bidder where:

• the Reserve Price has been reached, if applicable; and
• ChronoBid Auctions accepts the sale.

10.2 Contract of Sale

Subject to applicable law and these Terms and Conditions, a binding contract of sale arises when the Auction concludes and the successful bid is accepted.

The successful Bidder becomes the Buyer and is responsible for the Total Purchase Price.

10.3 Buyer Obligations

The Buyer must pay:

• the successful bid amount;
• the applicable Buyer’s Premium;
• GST and other applicable taxes or government charges;
• delivery and insurance charges where applicable; and
• any other charges or expenses properly payable in connection with the purchase.

By placing a bid, you confirm that you have sufficient funds available to complete the purchase if you are successful.

You should not place a bid unless you are financially able to pay the Total Purchase Price within the required payment period.

12.1 Currency

Unless otherwise stated, all bids, invoices and payments are in Australian Dollars (AUD).

12.2 Payment Due

Payment is due immediately following the conclusion of the Auction unless alternative payment arrangements have been approved by ChronoBid Auctions in writing.

12.3 Accepted Payment Methods

ChronoBid Auctions may accept payment by methods including:

• Visa;
• Mastercard;
• American Express;
• bank transfer;
• electronic funds transfer; or
• another payment method displayed or approved by ChronoBid Auctions.

ChronoBid Auctions may refuse a particular payment method at its discretion.

12.4 Card Payment

Where authorised by the Buyer, ChronoBid Auctions may charge the registered payment card for amounts owing following a successful purchase.

If the card cannot process the full amount in one transaction, ChronoBid Auctions may require the outstanding balance to be paid by another approved method.

12.5 Deposit Arrangements

Unless otherwise stated on the Lot, a successful Buyer’s verified card may be charged a 5% deposit of the hammer price when they win. That deposit is not the Buyer’s Premium. The remaining balance (hammer plus Buyer’s Premium less deposit) is payable by bank transfer within the period stated on the invoice.

ChronoBid Auctions may also, at its discretion and subject to prior approval, permit other deposit arrangements before an Auction concludes.

12.6 Transfer of Title

Title to a purchased Lot will not pass to the Buyer until the Total Purchase Price and all other amounts owing to ChronoBid Auctions have been paid in full in cleared funds.

Until payment is received in full, ChronoBid Auctions may withhold delivery of the Lot.

Time is of the essence in relation to payment.

If the Buyer fails to pay the Total Purchase Price within the required period, ChronoBid Auctions may, subject to applicable law:

• allow additional time for payment;
• charge interest on overdue amounts;
• suspend the Buyer’s account;
• cancel or rescind the sale;
• retain any deposit paid, where legally permitted;
• resell the Lot;
• recover any loss resulting from the Buyer’s default; and
• recover reasonable costs associated with the default, including collection and legal costs where permitted by law.

Unless otherwise agreed in writing, an amount outstanding for more than 21 days may be treated as a default.

The applicable interest rate for overdue amounts may be 1.5% per month, subject to applicable law.

14.1 Collection

Where collection is available, the Buyer may collect a purchased Lot by prior appointment from the location nominated by ChronoBid Auctions.

Collection times and locations will be confirmed separately.

14.2 Delivery

ChronoBid Auctions may arrange delivery using secure and reputable courier services.

Delivery times are estimates only and may vary due to circumstances outside ChronoBid Auctions’ reasonable control.

14.3 Delivery Address

The Buyer is responsible for providing a correct and secure delivery address.

ChronoBid Auctions may require written confirmation of the delivery address before dispatch.

For security reasons, ChronoBid Auctions may restrict changes to the delivery address after purchase.

14.4 Insurance

Where applicable, ChronoBid Auctions may arrange transit insurance for the Lot.

The extent of insurance coverage will depend upon the relevant insurance policy and circumstances of the shipment.

14.5 International Purchases

For purchases shipped outside Australia, the Buyer is responsible for any:

• customs duties;
• import taxes;
• local taxes;
• clearance fees;
• brokerage charges;
• government charges; or
• other costs imposed by the destination country.

The Buyer is responsible for ensuring that the purchased watch may lawfully be imported into the destination country.

14.6 Risk

To the extent permitted by law, responsibility for the Lot passes to the Buyer upon delivery.

Where delivery cannot be completed because the Buyer has provided an incorrect address, failed to accept delivery or otherwise caused the failed delivery, the Buyer may be responsible for resulting costs and risks.

ChronoBid Auctions will take reasonable steps to ensure purchased Lots are securely packaged and dispatched.

If a Lot is lost or damaged during delivery, ChronoBid Auctions may, depending on the circumstances and applicable insurance arrangements:

• arrange an insurance claim;
• repair the Lot;
• replace the Lot where reasonably possible; or
• refund amounts paid for the Lot.

Any limitation of liability in relation to damaged or lost goods is subject to rights that cannot lawfully be excluded under Australian law.

All auction purchases are final.

Except where required by Australian Consumer Law or where ChronoBid Auctions expressly agrees otherwise, change-of-mind returns, refunds or exchanges are not available for successful auction purchases.

This provision does not limit any rights or remedies you may have under applicable consumer protection legislation.

ChronoBid Auctions will endeavour to provide accurate descriptions and photographs of each watch.

Descriptions may include information about:

• brand;
• model;
• reference number;
• serial number;
• approximate age;
• condition;
• movement;
• dial;
• case;
• bracelet or strap;
• accessories;
• box and papers;
• service history; and
• provenance.

Where authenticity information or supporting documentation is available, it will be provided in the relevant Lot description.

Bidders should carefully review all information supplied before placing a bid.

Unless expressly stated otherwise, ChronoBid Auctions does not guarantee that manufacturer warranties, servicing arrangements or replacement parts will remain available for a particular watch.

Where applicable, ChronoBid Auctions may use the following general condition descriptions:

New

The watch is represented as new and has not been previously privately owned, subject to the individual Lot description.

As New

The watch presents in a condition comparable to new, although it may have been previously owned or handled.

Pre-Owned

The watch has previously been owned and may display signs of use, including scratches, marks or other wear consistent with its age and condition.

Condition grades are intended as general guidance only. Bidders should review the individual photographs, descriptions and condition information for each Lot.

19.1 Warranty Provided

Where specifically stated in the Lot description, ChronoBid Auctions may provide a limited warranty.

Unless otherwise stated:

• new watches may be covered by the manufacturer’s warranty or a warranty specified in the Lot description; and
• qualifying “As New” and “Pre-Owned” watches may be covered by a three-month limited ChronoBid Auctions warranty.

19.2 Warranty Coverage

Unless otherwise specified, the limited ChronoBid Auctions warranty covers the watch movement and hands.

19.3 Warranty Exclusions

The limited warranty does not cover:

• normal ageing;
• ordinary wear and tear;
• scratches or cosmetic damage;
• accidental damage;
• misuse;
• negligence;
• improper handling;
• unauthorised modification;
• third-party repairs;
• damage caused by external events;
• battery replacement;
• loss of stones or gems;
• moisture or water damage where the watch is not rated as water resistant;
• water damage resulting from use outside the manufacturer’s water-resistance specifications; or
• water damage caused by an improperly secured crown, pushers or other components.

19.4 Unauthorised Repairs

Any modification, opening, repair or servicing carried out by the Buyer or a third party without prior written approval from ChronoBid Auctions may void any applicable ChronoBid Auctions warranty, to the extent permitted by law.

19.5 Warranty Claims

A warranty claim must be submitted in writing within the applicable warranty period.

ChronoBid Auctions may require the watch to be returned for inspection before determining whether a warranty claim is valid.

Where a watch is shipped outside Australia and is covered by a ChronoBid Auctions warranty, the Buyer may be required to return the watch to Australia for assessment or warranty service.

Unless otherwise required by law or agreed in writing, the Buyer is responsible for costs associated with returning the watch to Australia, including shipping, customs, duties and other charges.

The Buyer may also be responsible for return shipping and associated costs after warranty service.

Where a Lot does not sell at Auction, ChronoBid Auctions may offer that Lot for sale by private treaty.

Any private treaty sale may remain subject to these Terms and Conditions unless otherwise agreed in writing.

ChronoBid Auctions reserves the right, subject to applicable law, to:

• withdraw a Lot;
• correct an error in a Lot description;
• correct an obvious pricing error;
• amend an Auction;
• postpone or cancel an Auction;
• suspend bidding;
• extend an Auction;
• refuse a bid;
• refuse a sale;
• require additional identity or payment verification;
• restrict or suspend an account; or
• take any reasonable action necessary to maintain the integrity of the Website and Auction.

Where reasonably possible, ChronoBid Auctions will endeavour to notify affected Bidders of significant changes.

Bidders must not:

• place bids without intending to purchase;
• place false or misleading bids;
• manipulate bidding activity;
• bid on behalf of another person without proper authority;
• interfere with another Bidder’s account;
• use automated systems or software to manipulate the Auction;
• attempt to circumvent bidding restrictions;
• use fraudulent payment information;
• provide false identification;
• engage in unlawful conduct; or
• otherwise interfere with the proper operation of an Auction.

ChronoBid Auctions may suspend an account and/or cancel bids where it reasonably suspects fraudulent, misleading, manipulative or unlawful activity.

ChronoBid Auctions will use reasonable efforts to maintain the Website and online bidding system.

However, uninterrupted access cannot be guaranteed.

ChronoBid Auctions will not be responsible, to the extent permitted by law, for losses caused by:

• internet outages;
• telecommunications failures;
• server failures;
• software errors;
• website interruptions;
• payment gateway failures;
• computer or device problems;
• transmission delays;
• cyber incidents;
• technical errors;
• maintenance;
• power outages; or
• circumstances outside ChronoBid Auctions’ reasonable control.

If a technical problem materially affects an Auction, ChronoBid Auctions may suspend, extend, restart, cancel or otherwise modify the Auction where reasonably necessary.

ChronoBid Auctions grants you a limited, non-exclusive and non-transferable right to access and use the Website for legitimate personal participation in Auctions and for viewing information about Lots and services.

You must not, without prior written permission:

• reproduce Website content;
• commercially exploit the Website;
• copy or reproduce Lot descriptions or photographs;
• scrape or extract Website data;
• collect Bidder information;
• reproduce logos or branding;
• create derivative works from Website content; or
• interfere with the Website or its operation.

All intellectual property rights in the Website and its content remain with ChronoBid Auctions or the relevant third-party owner.

Photographs, videos and other visual material displayed on the Website are provided to assist Bidders in evaluating Lots.

Minor differences between photographs and the physical item may occur due to lighting, photography, screen settings or other factors.

Website images must not be reproduced or used commercially without prior written permission.

ChronoBid Auctions may collect and use personal information provided by Bidders for purposes including:

• creating and administering accounts;
• processing bids;
• processing payments;
• arranging delivery;
• verifying identity;
• preventing fraud;
• communicating with Bidders;
• complying with legal obligations;
• maintaining business records; and
• sending marketing communications where permitted and where appropriate consent has been provided.

Personal information will be handled in accordance with the ChronoBid Auctions Privacy Policy, available on chronobid.com.au.

By registering for an account, you acknowledge that your personal information may be collected and used in accordance with that Privacy Policy and applicable Australian privacy law.

You may unsubscribe from promotional communications at any time where an unsubscribe facility is provided.

By registering with ChronoBid Auctions, you consent to receiving electronic communications relating to:

• your account;
• bids;
• Auction results;
• invoices;
• payments;
• delivery;
• security;
• changes to these Terms and Conditions; and
• other matters relating to your use of the Website.

ChronoBid Auctions may also send promotional communications where permitted by law and where the appropriate consent has been obtained.

Unless otherwise stated, bids are expressed in Australian Dollars and are inclusive of GST where applicable.

The Buyer is responsible for GST and any other applicable taxes, duties or charges forming part of the Total Purchase Price.

International Buyers are responsible for taxes, duties and charges imposed by the destination country.

To the maximum extent permitted by law, ChronoBid Auctions will not be liable for indirect, incidental, special or consequential loss arising from:

• participation in an Auction;
• use of the Website;
• inability to access the Website;
• technical failures;
• delays;
• loss of opportunity;
• loss of profits;
• loss of data; or
• other circumstances arising from the use of the Website or Auction service.

Nothing in these Terms and Conditions excludes, restricts or modifies any right, guarantee, warranty or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.

To the extent permitted by law, you agree to indemnify and hold harmless ChronoBid Auctions and its officers, employees, contractors and agents against claims, losses, costs or expenses arising from:

• your breach of these Terms and Conditions;
• fraudulent or unlawful use of your account;
• your failure to pay for a successful purchase;
• misuse of the Website; or
• your conduct in connection with an Auction.

This clause does not apply to the extent that the loss was caused by the negligence, unlawful conduct or breach of ChronoBid Auctions.

If you have a concern or complaint regarding an Auction, purchase, Lot or the Website, you should first contact ChronoBid Auctions so that the matter can be investigated and, where possible, resolved.

In the event of a dispute regarding bidding activity, ChronoBid Auctions may review its electronic bidding records and other relevant information.

Nothing in this section prevents a consumer from exercising rights available under applicable Australian law.

ChronoBid Auctions may suspend or terminate access to an account where a Bidder:

• breaches these Terms and Conditions;
• provides false or misleading information;
• fails to pay an amount due;
• engages in fraudulent or suspicious conduct;
• interferes with an Auction;
• misuses the Website; or
• engages in unlawful conduct.

ChronoBid Auctions may also suspend Website access where reasonably necessary for security, maintenance or operational reasons.

Termination of an account does not release a Buyer from obligations that arose before termination.

ChronoBid Auctions will not be liable for failure or delay in performing its obligations where that failure or delay results from circumstances outside its reasonable control.

Such circumstances may include:

• natural disasters;
• fire;
• flood;
• severe weather;
• pandemic;
• war;
• terrorism;
• civil unrest;
• industrial action;
• government action;
• telecommunications failure;
• power failure;
• cyber incidents;
• transport disruption; or
• other events beyond reasonable control.

ChronoBid Auctions may update these Terms and Conditions from time to time.

The current version will be published on chronobid.com.au.

Changes will generally take effect from the date they are published unless otherwise stated.

Your continued use of the Website after changes have been published may constitute acceptance of the updated Terms and Conditions, to the extent permitted by law.

The Terms and Conditions applicable to a completed Auction will generally be those in effect at the time of that Auction, unless otherwise required by law.

If ChronoBid Auctions does not immediately exercise a right under these Terms and Conditions, that does not mean the right has been waived.

A waiver must be given expressly and in writing.

If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, that provision will be read down or severed to the extent necessary, and the remaining provisions will continue to operate.

Any provision which by its nature is intended to continue after an Auction, sale, payment or termination will continue to apply after completion of the relevant transaction.

These Terms and Conditions are governed by the laws of New South Wales, Australia, unless otherwise required by applicable law.

You agree to submit to the jurisdiction of the courts of New South Wales and any applicable federal courts having jurisdiction in New South Wales.

Notices relating to these Terms and Conditions may be provided by:

• email;
• the Website;
• registered mail; or
• another reasonable written communication method.

You are responsible for ensuring that your contact details and email address registered with ChronoBid Auctions remain accurate and current.
